job responsibilties
- Prepare board agendas, resolutions, meeting materials, and minutes, while ensuring timely follow-up on Board decisions and action items.
- Maintain and strengthen corporate governance frameworks, policies, and best practices.
- Ensure compliance with applicable corporate laws, regulations, and statutory requirements.
- Coordinate regulatory filings, submissions, and engagements with relevant government agencies, regulators, and external advisers.
- Maintain statutory registers, licenses, permits, corporate records, company seals, and other legal documentation.
- Support contract administration and corporate transactions, including company incorporations, restructuring, mergers, acquisitions, and dissolutions.
- Develop and implement compliance monitoring systems, conduct compliance reviews, and ensure timely renewal of operational licenses and certifications.
- Monitor legal and regulatory developments and provide guidance on compliance and governance obligations.
requirements
- Bachelor’s Degree in Law (LL.B) and must be a member of the Nigerian Bar Association (NBA).
- 2–5 years post-call experience in corporate law, company secretarial practice, regulatory compliance, or corporate governance.
- Strong knowledge of the Companies and Allied Matters Act (CAMA), corporate governance principles, and regulatory compliance requirements.
- Experience preparing board papers, resolutions, meeting minutes, statutory filings, and maintaining corporate records.
- Excellent drafting, communication, organizational, and stakeholder management skills.
- High level of integrity, attention to detail, and ability to handle confidential information.
- Proficient in Microsoft Office Suite and legal/corporate documentation management.
